ClubWUs Terms of Service

1. Eligibility

ClubWUs is intended for individuals who are 18 years of age or older.

By creating an account or using ClubWUs, you represent and warrant that you are at least 18 years old and legally able to agree to these Terms.

We may suspend or terminate accounts that we reasonably believe belong to individuals who do not meet this requirement.

2. Your Account

You may need to create an account to use certain ClubWUs features.

You are responsible for:

• providing accurate information;
• maintaining the security of your password and account;
• keeping your account information current;
• all activity occurring through your account.

You may not impersonate another person, create an account using another person's information, or create accounts for fraudulent or abusive purposes.

3. ClubWUs Content and User Content

ClubWUs contains content created by ClubWUs and content submitted by users, including profiles, clubs, posts, photographs, comments, events, and other material ("User Content").

You retain ownership of User Content that you submit to ClubWUs.

By submitting User Content, you grant ClubWUs a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and otherwise use that content as reasonably necessary to operate, maintain, improve, and promote the Service.

This license continues for so long as reasonably necessary to provide or maintain the Service and to fulfill the purposes described in our Privacy Policy, subject to our deletion practices.

You represent and warrant that:

• you own or have the necessary rights to submit the User Content;
• your User Content does not infringe another person's intellectual property, privacy, publicity, or other rights;
• your User Content does not violate these Terms or our Community Guidelines;
• your User Content does not contain malicious code or material intended to damage or interfere with the Service.

4. Prohibited Conduct

You may not use ClubWUs to:

• violate any law or regulation;
• threaten, harass, stalk, intimidate, or abuse another person;
• engage in hate-based conduct or discrimination;
• impersonate another person or organization;
• publish another person's private or identifying information without authorization;
• facilitate fraud, scams, or deceptive activity;
• distribute spam or malicious software;
• intentionally submit false or misleading information about clubs, events, promotions, or other activities;
• infringe copyrights, trademarks, or other intellectual property rights;
• upload sexually explicit content;
• promote exploitation, abuse, or violence;
• interfere with the operation or security of the Service;
• attempt to gain unauthorized access to accounts, systems, or data;
• manipulate engagement, rankings, recommendations, or promotional metrics;
• use ClubWUs for any unlawful or unauthorized commercial purpose.

Additional standards appear in the ClubWUs Community Guidelines, which are incorporated into these Terms.

5. User-Generated Content and Moderation

ClubWUs is a social platform that includes User Content.

We may review, moderate, restrict, remove, or refuse to distribute User Content that we believe violates these Terms, the Community Guidelines, applicable law, or the safety of the ClubWUs community.

We may also suspend or terminate accounts associated with prohibited conduct.

ClubWUs does not guarantee that all User Content will be reviewed or detected before it is displayed.

You can report content or users through the mechanisms provided within the Service. You may also contact us at support@clubwus.com.

6. Blocking and Reporting

ClubWUs provides mechanisms that allow users to report content or users and block users.

Reports may be reviewed and acted upon according to the circumstances, applicable law, our policies, and available information.

We do not guarantee a particular outcome from a report or complaint.

7. Clubs, Events, and User-Provided Information

ClubWUs may display information about clubs, events, activities, locations, and other experiences submitted by users or third parties.

ClubWUs does not guarantee that such information is:

• accurate;
• current;
• complete;
• safe;
• lawful;
• available;
• affiliated with the organization claimed;
• suitable for any particular purpose.

You are responsible for independently evaluating whether to participate in an activity or interact with a club, user, business, or event.

ClubWUs is not responsible for injuries, losses, disputes, cancellations, or other consequences arising from interactions between users or participation in activities listed through the Service.

8. Promotions

ClubWUs may offer promotional features that allow clubs, organizations, or businesses to promote content or activities.

Promotional content may be labeled or otherwise identified as promotional content.

ClubWUs may provide promoters with aggregated or non-identifying information about audience characteristics or engagement, such as the approximate number of users in a geographic area or category of interest.

We do not intend to provide promoters with individual users' identities or individual-level viewing histories for promotional targeting through the Service.

9. Intellectual Property

The ClubWUs name, trademarks, logos, software, design, text, graphics, and other materials provided by ClubWUs are owned by ClubWUs LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works from ClubWUs materials.

10. Third-Party Services

ClubWUs may use third-party services to operate portions of the Service, including infrastructure, email delivery, mapping, hosting, notifications, storage, analytics, or other technical services.

Your use of third-party services may also be subject to their own terms and privacy policies.

11. Privacy

Your use of ClubWUs is also governed by the ClubWUs Privacy Policy, which explains what information we collect, how we use it, how we share it, how long we retain it, and how you can request deletion.

12. Account Deletion

You may delete your ClubWUs account through the account deletion feature provided within the application.

If you are the primary manager of a club, you cannot delete your account until you promote another eligible club member to primary manager. This helps ensure that clubs are not left without a primary manager.

When an account is deleted, we delete the personal information associated with the account as described in our Privacy Policy.

Some content, records, or information may remain in a de-identified, anonymized, security, legal, or operational form as described in the Privacy Policy.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to ClubWUs at any time if we reasonably believe that you:

• violate these Terms or the Community Guidelines;
• create a safety or security risk;
• engage in unlawful or fraudulent activity;
• misuse the Service;
• create significant risk or liability for ClubWUs or others.

You may stop using ClubWUs at any time.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, ClubWUs is provided on an "as is" and "as available" basis.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

We do not guarantee the accuracy or reliability of User Content or third-party information.

15. Limitation of Liability

To the maximum extent permitted by applicable law, ClubWUs LLC and its operators, affiliates, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of or inability to use the Service.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ClubWUs LLC and its operators, affiliates, service providers, and licensors from claims, damages, liabilities, costs, and expenses arising from:

• your violation of these Terms;
• your User Content;
• your violation of another person's rights;
• your unlawful or unauthorized use of the Service.

17. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we may provide notice through the Service or other reasonable means.

If we require acceptance of an updated version, you may be required to accept the updated Terms before continuing to use certain features.

Your continued use of ClubWUs following an effective date constitutes acceptance of updated Terms to the extent permitted by law.

18. Governing Law

These Terms will be governed by the laws applicable to the ClubWUs operating entity and the jurisdiction identified by that entity, without regard to conflict-of-law principles, except where applicable law requires otherwise.
